These Terms & Conditions ("Terms") govern your purchase and use of any products, services, courses, memberships, consulting, recruiting services, implementation services, digital downloads, templates, educational materials, or other offerings provided by Crystal Cannata LLC d/b/a Operate Simple ("Company," "we," "our," or "us").

By purchasing, accessing, or using any of our products or services, you acknowledge that you have read, understood, and agree to these Terms.


1. Educational Purposes Only

All information, recommendations, templates, frameworks, reports, videos, training, consulting, coaching, recruiting, implementation guidance, educational materials, and other content provided by Operate Simple are intended for educational and informational purposes only.

We provide operational guidance based on our professional experience and judgment. We do not make decisions on your behalf.

By using our services, you acknowledge that:

  • You are solely responsible for the decisions you make in your business and personal affairs.

  • You are responsible for evaluating and implementing any recommendations we provide.

  • We do not provide legal, accounting, tax, financial, or other licensed professional advice.

  • You should seek appropriate licensed professionals when necessary.


2. No Guarantees

Every business is different.

While we have successfully helped many businesses improve their operations, we make no guarantees regarding:

  • Revenue

  • Profitability

  • Business growth

  • Hiring success

  • Employee performance

  • Time savings

  • Operational improvements

  • Financial outcomes

  • Any other specific business result

Results depend on numerous factors outside our control, including implementation, leadership, market conditions, staffing, and client participation.

Testimonials, examples, and case studies are intended only to illustrate what has been possible for others and should not be interpreted as guarantees.


3. Client Responsibilities

Successful implementation requires active participation from the client.

By purchasing our services, you agree to:

  • Attend scheduled meetings and working sessions.

  • Review deliverables in a timely manner.

  • Provide requested information.

  • Ask questions when clarification is needed.

  • Communicate promptly if obstacles arise.

  • Implement recommendations within your business.

  • Reinforce systems, expectations, and accountability with your team.

Some aspects of implementation may feel unfamiliar or uncomfortable as new operational structures are introduced. Lasting improvements require consistent participation and a willingness to learn new ways of operating.

While Operate Simple provides guidance, structure, recommendations, and implementation support, you remain solely responsible for operating and managing your business.


4. Intellectual Property

All content created or provided by Crystal Cannata LLC is protected under United States copyright and intellectual property laws.

This includes, but is not limited to:

  • The Operating Framework™

  • Framework methodologies

  • Training materials

  • Audit reports

  • Process documentation

  • Templates

  • Worksheets

  • Checklists

  • Videos

  • Presentations

  • Recordings

  • Written content

  • SOPs

  • Recruiting processes

  • Implementation methods

  • Systems

  • Graphics

  • Digital downloads

  • Courses

  • Academy materials

  • Membership content

5. Internal Business Use

Certain templates, checklists, SOPs, and implementation resources are intentionally designed for use within your own business.

You may customize and use these materials internally within your organization.

You may not:

  • Resell them.

  • Give them to another business.

  • Publish them online.

  • Include them in another course or membership.

  • Share them publicly.

  • Distribute them outside your organization.


6. No Derivative Works

Our methodologies, frameworks, implementation processes, training materials, audit methods, templates, systems, and proprietary business practices represent years of development and are proprietary intellectual property.

You may not:

  • Teach our methodologies.

  • License our methodologies.

  • Sell our methodologies.

  • Copy our systems.

  • Build courses based upon our content.

  • Create competing products derived from our materials.

  • Repackage our frameworks under another name.

  • Create derivative works based upon The Operating Framework™ or any other proprietary methodology without our prior written consent.


7. AI Usage Restrictions

Clients may use AI tools to assist with implementing recommendations within their own business.

However, clients may not upload, input, or use Operate Simple's proprietary materials, including frameworks, reports, templates, videos, worksheets, recordings, methodologies, training materials, or other intellectual property for the purpose of:

  • Training AI systems

  • Creating derivative works

  • Reproducing our materials

  • Building competing products or services

  • Commercial redistribution

Any commercial use of our proprietary materials through artificial intelligence systems requires prior written permission.


8. Ownership of Deliverables

Clients retain ownership of the business information they provide to Operate Simple.

Operate Simple retains ownership of all proprietary methodologies, systems, templates, frameworks, processes, training materials, and intellectual property used to create any deliverables.

Clients receive a perpetual license to use customized deliverables internally within their own business.

Customized deliverables may not be sold, licensed, distributed, or shared outside the client's organization without written permission.


9. Confidentiality

During the course of our work, both parties may exchange confidential information.

Operate Simple agrees to keep client confidential information private except as necessary to perform the agreed services or as required by law.

Clients agree not to disclose, distribute, reproduce, or share Operate Simple's proprietary frameworks, methodologies, internal systems, training materials, or confidential business information.


10. Payment Terms

Payment is due according to the invoice, proposal, checkout page, payment plan, or service agreement.

Failure to make scheduled payments may result in suspension or termination of services and access to purchased materials.


11. Refund Policy

Due to the nature of digital products, consulting, implementation services, recruiting services, educational content, and the immediate allocation of time and resources after purchase, all sales are final.

No refunds will be issued once payment has been made.

By purchasing any product or service, you acknowledge and agree to this no-refund policy.


12. Business Audit Services

Business Audits are designed to provide strategic observations, operational analysis, recommendations, and an implementation roadmap.

Clients may share their completed audit report internally with employees or with trusted professional advisors, including accountants, attorneys, coaches, consultants, or vendors assisting with implementation.

Audit reports may not be reproduced, published, sold, or distributed for commercial purposes.


13. Framework Implementation

Framework Implementation is a collaborative service delivered through working sessions, customized documentation, implementation support, strategic guidance, and operational training.

Clients agree to:

  • Attend scheduled meetings.

  • Participate in implementation sessions.

  • Review deliverables promptly.

  • Provide requested information.

  • Communicate questions and concerns throughout the process.

Implementation projects are generally designed to be completed within approximately eight (8) weeks unless otherwise agreed in writing.

If a client becomes unresponsive, repeatedly misses scheduled meetings, fails to provide required information, or otherwise prevents progress for thirty (30) consecutive days, Operate Simple reserves the right to:

  • Complete any remaining work using information already available;

  • Deliver any remaining completed materials;

  • Close the project;

  • Consider the engagement fulfilled.

No refunds will be issued due to client non-participation.


14. Recruiting Services

Recruiting services are provided on a best-effort basis.

We do not guarantee:

  • Candidate acceptance

  • Candidate retention

  • Employee performance

  • Hiring decisions

  • Employment outcomes

Candidates sourced through our recruiting process remain part of Operate Simple's recruiting database unless prohibited by applicable law.

We reserve the right to consider previously sourced candidates for future client opportunities.


15. Operations Oversight

Operations Oversight is an advisory service.

Our role is to:

  • Review operational performance.

  • Identify areas of concern.

  • Recommend improvements.

  • Provide strategic guidance.

  • Assist with accountability and visibility.

We are not responsible for managing your employees, operating your business, enforcing internal policies, or implementing recommendations on your behalf.

Final decisions and implementation remain the responsibility of the business owner.


16. Future Products & Services

These Terms apply to current and future products, services, memberships, courses, consulting engagements, implementation services, educational materials, and other offerings provided by Operate Simple unless separate written terms are provided.


17. Limitation of Liability

To the fullest extent permitted by law, Crystal Cannata LLC, Operate Simple, its owners, employees, contractors, and representatives shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising from the use of our products or services.

Our maximum liability for any claim shall not exceed the amount paid by the client for the specific product or service giving rise to the claim.


18. Termination

Operate Simple reserves the right to suspend or terminate access to any product, program, membership, course, or service if a client:

  • Violates these Terms;

  • Shares proprietary materials without permission;

  • Misuses our intellectual property;

  • Engages in abusive, threatening, or unlawful conduct; or

  • Materially breaches any agreement with Operate Simple.

Termination under these circumstances does not entitle the client to a refund.


19. Governing Law

These Terms shall be governed by and interpreted under the laws of the State of North Carolina without regard to its conflict of law principles.

Any disputes arising under these Terms shall be resolved in the appropriate state or federal courts located in North Carolina.
